Terms and Conditions

These terms are an agreement between you and Social Jool LLC ("Vidax", "we", "us"), a company registered in Delaware, United States, for your use of vidax.ai and the services on it. By creating an account you accept them.

1. The service

Vidax turns a written brief into a finished video: it researches the topic, writes a script, generates narration, sources footage and images, and renders the result. You review and approve the script before production begins, and you can edit the result before you publish it.

2. Accounts and invitations

Vidax is currently invite-only. You need a valid invite code to create an account, and you must be at least 18 years old. You are responsible for keeping your credentials secure and for everything done through your account. One person may not operate multiple accounts to obtain additional free minutes; doing so may result in termination.

3. Invitations and referral commission

Each account receives its own invite code with a limited number of uses. Redeeming a code grants the new account free minutes, and permanently records which code introduced them.

If someone who joined with your code subscribes to a paid plan, you earn a commission of 20% of their subscription payments for the first twelve months of their subscription. Commission accrues only on payments actually received and retained by us, becomes payable 30 days after the underlying payment (so refunds and chargebacks can be resolved first), and is paid on request to the payment details you provide. You may not earn commission on your own accounts, may not pay for placement of your code in advertising that impersonates Vidax, and may not use spam to distribute it. We may withhold commission obtained through such means, and may vary or end the referral programme on notice for future referrals.

4. Plans, minutes and payment

Paid plans are billed through Whop, our payment processor; we do not store your card details. Each plan includes a monthly allowance of video minutes, which resets at each renewal and does not carry over. Separately purchased top-up minutes do not expire while your account is active. Free minutes granted at signup or by invite code are a one-time allocation with no cash value.

Subscriptions renew automatically until cancelled. You may cancel at any time, effective at the end of the paid period; we do not pro-rate partial months. If a payment fails we may suspend generation after a short grace period.

5. Your content and ownership

You own the briefs you write and, as between you and us, the finished videos you produce. We claim no ownership of your output. You grant us only the limited licence needed to operate the service: to store, process and render your projects, and to transmit them to the platforms you ask us to publish to.

Videos produced on Vidax may appear on our public showcase. If you would prefer yours not to, email [email protected] and we will remove it.

6. Third-party material

Vidax assembles videos partly from third-party sources — stock libraries, public web material and platform content — under the licences available to us. That material is licensed for use inside the finished videos this service produces. You may not extract, redistribute or resell source clips, images or audio outside a finished Vidax video. You are responsible for ensuring your published output complies with the rules of any platform you post it to.

7. Acceptable use

Your use is subject to our Acceptable Use Policy, which forms part of these terms. In particular: no impersonation of real people, no fabricated evidence presented as genuine, and no unlawful content.

8. Accuracy — read this one

Vidax researches and sources material automatically, and it can be wrong: facts, attributions, figures, dates and footage matches may be inaccurate or unsuitable. Output is a draft for your review, not verified journalism. You are the publisher, and you are responsible for checking anything you publish — especially on news, legal, medical or financial subjects.

9. Availability

We aim to keep Vidax running, but the service is provided "as is" without warranty of uninterrupted or error-free operation. Production depends on third-party providers, and their outages affect ours. If a generation fails through our fault, we will restore the minutes it consumed.

10. Liability

To the fullest extent permitted by law, our total liability arising out of these terms is limited to the amount you paid us in the twelve months before the claim. We are not liable for indirect or consequential losses, including lost profits, lost revenue or reputational harm. Nothing here limits liability that cannot lawfully be limited.

11. Termination

You may close your account at any time by emailing us. We may suspend or terminate an account that breaches these terms or the Acceptable Use Policy. On termination we will, on request, provide a reasonable opportunity to download your finished videos before deleting your data.

12. YouTube

If you connect a YouTube channel, you are also agreeing to the YouTube Terms of Service, and Google's use of your data is governed by the Google Privacy Policy. You can revoke our access at any time at myaccount.google.com/permissions.

13. Changes and governing law

We may update these terms; material changes will be notified by email and the date above will change. These terms are governed by the laws of the State of Delaware, United States.
